Please read these Terms of Service carefully before using the Saddle platform. These Terms govern your access to and use of our services. By using Saddle, you agree to be bound by these Terms and our Privacy Policy.

01Acceptance of Terms

By accessing or using the Saddle platform ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Platform. These Terms apply to all visitors, users, and others who access or use the Platform, including founders, startup operators, and any authorised representatives acting on behalf of a business entity.

02Description of Services

Saddle provides operational infrastructure services for African startups, including but not limited to: compliance management, legal documentation support, financial administration tools, and back-office automation. The Platform is designed to help founders manage non-core operational tasks efficiently. Saddle does not provide legal advice, accounting services, or regulated financial services. Any information provided through the Platform is for operational and informational purposes only.

03Eligibility

You must be at least 18 years of age and have the legal authority to enter into binding agreements on behalf of yourself or the business entity you represent. By using the Platform, you represent and warrant that you meet these eligibility requirements. Saddle reserves the right to terminate access for any user who misrepresents their eligibility.

04Account Registration

To access certain features of the Platform, you may be required to create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your account credentials and for all activity that occurs under your account. You must notify Saddle immediately at saddlehq.ng@gmail.com of any unauthorised use of your account.

05Acceptable Use

You agree not to use the Platform to: (a) violate any applicable Nigerian or international law or regulation; (b) transmit any material that is fraudulent, defamatory, or unlawful; (c) attempt to gain unauthorised access to any portion of the Platform or its related systems; (d) interfere with or disrupt the integrity or performance of the Platform; (e) collect or harvest any personally identifiable information from the Platform without consent; or (f) use the Platform for any purpose that competes with Saddle's business without prior written consent.

06Intellectual Property

All content, features, and functionality on the Platform — including but not limited to text, graphics, logos, icons, and software — are the exclusive property of Saddle or its licensors and are protected under applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to access and use the Platform solely for your internal business purposes. You may not reproduce, distribute, modify, or create derivative works of any Platform content without Saddle's prior written permission.

07User Content

You retain ownership of any data, documents, or content you upload or submit through the Platform ("User Content"). By submitting User Content, you grant Saddle a limited, non-exclusive licence to process and use such content solely for the purpose of providing the Services to you. Saddle will not sell, share, or disclose your User Content to third parties except as required to deliver the Services or as required by applicable law.

08Privacy

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the collection and use of your information as described in the Privacy Policy. Saddle is committed to handling your data in accordance with the Nigeria Data Protection Regulation (NDPR) and other applicable data protection laws.

09Payment and Billing

Certain features of the Platform may require payment. Where applicable, you agree to pay all fees in accordance with the pricing communicated to you at the time of subscription or purchase. Saddle reserves the right to modify pricing at any time, with reasonable prior notice. All fees are non-refundable unless otherwise stated or required by applicable law. Failure to pay applicable fees may result in suspension or termination of your access to paid features.

10Limitation of Liability

To the fullest extent permitted by applicable law, Saddle, its officers, directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising out of or in connection with your use of the Platform, even if Saddle has been advised of the possibility of such damages. Saddle's total liability to you for any claim arising from these Terms or your use of the Platform shall not exceed the amount you paid to Saddle in the twelve (12) months preceding the claim.

11Disclaimers

The Platform is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. Saddle does not warrant that the Platform will be uninterrupted, error-free, or free of viruses or other harmful components. Saddle does not provide legal, financial, or regulatory advice. You should consult qualified professionals for such matters.

12Termination

Saddle may suspend or terminate your access to the Platform at any time, with or without cause or notice, including if you breach these Terms. Upon termination, your right to use the Platform will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including intellectual property provisions, disclaimers, and limitations of liability.

13Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions. Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration in Lagos, Nigeria, in accordance with applicable arbitration rules.

14Changes to Terms

Saddle reserves the right to update or modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Platform and updating the "Last Updated" date. Your continued use of the Platform after any changes constitutes your acceptance of the new Terms. We encourage you to review these Terms periodically.
